Royalty-Free License Agreement

When payment of the license purchase price has been made, you (the licensee) can use the "royalty-free stock footage" for unlimited productions without incurring any additional fees. The Licensee will have a non-exclusive, non-transferable, worldwide right to use the Footage indefinitely.
Licensee must agree not to transfer copyright, title or ownership of the Footage.

London Stock Footage Limited owns and retains the copyright and ownership of the Footage licensed by this agreement which can not be transferred to the licensee upon acceptance of payment.

The productions may include feature films, television shows, short films, documentaries, commercials, videos (corporate, educational, music, industrial & sales) multimedia projects, corporate meetings, games or for use on websites, as long as the Footage has been incorporated into a production that has substantial value added by you or your employer.

Limitations

The licensee may not share, sublicense, redistribute or resell any of the Footage, either as a stand alone basis or as downloadable files, except as specified in this agreement.

The Footage also may not be used in a pornographic, defamatory, libelous or otherwise illegal manner or in a way that brings harm to an individual, company or trademark.

Limitation on Liability

London Stock Footage Limited will not be liable to you if you are unable to use the Footage or for any special, punitive, consequential or incidental damages including, without limitation, damages for loss of profits, business interruption or loss of business information arising out of the use of the Footage.

London Stock Footage Limited's entire liability and your exclusive remedy shall be limited to the amount you paid for the Footage or the replacement of the Footage at London Stock Footage Limited's option.

If full payment has not been received, London Stock Footage Limited reserves the right, in its sole discretion, to revoke this license. London Stock Footage Limited reserves the right to review all orders to ensure full payment by Licensee and to prevent any fraudulent sales due to tampering with our website and/or our licensing fees. All Footage is sold at face value and all sales are final with no refunds.

The Licensee is defined as a ‘single’ entity such as an individual or legal entity such as a corporation, partnership, or sole proprietorship.

This Agreement contains all the terms of the license agreement and no terms or conditions may be added or deleted unless made in writing and signed by an authorized representative of both parties. In the event of any inconsistency between the terms contained herein and the terms contained on any purchase order sent by Licensee, the terms of this Agreement shall govern.

Warranties

London Stock Footage Limited warrants that it is the sole and exclusive owner of all rights, title, and interest to the Footage, or it has secured the right to license the Footage on behalf of a third party.

The licensee shall be solely responsible for determining whether a clearance or release is required for any proposed use of the Footage. All prior discussions and negotiations have been and are merged and integrated into and are superseded by this Agreement.

London Stock Footage Limited does not provide any model or property releases with respect to the Footage and grants no rights and makes no warranties with regard to the use of people, names, trademarks or copyrighted designs or works of art or architecture depicted in any of the Footage.

London Stock Footage Limited makes no other warranty, express or implied. No covenants, agreements, representations or warranties of any kind whatsoever have been made by either party hereto, except as specifically set forth herein.

Returns Policy

Unfortunately, due to the distribution nature of digital stock content we are unable to offer a refund or accept returns on any of our products.

These terms and conditions which may be reviewed and altered by London Stock Footage Limited shall be governed and construed in accordance with English law.
